These Terms of Use (“Terms”), together with any terms expressly incorporated by reference, including our Privacy Policy (available at https://www.seniorlifestyle.com/privacy/), govern your relationship with Senior Lifestyle Corporation, our subsidiaries, and our affiliates (as used herein, “Senior Lifestyle,” “SLC,” “us,” “we,” or “our”) when you access, browse, or otherwise use our websites, including https://www.seniorlifestyle.com/.

These Terms apply to Senior Lifestyle’s websites as well as the websites for its affiliates, communities and properties (collectively, the “Site”).

Capitalized terms used but not defined in these Terms have the meaning given to them in our Privacy Policy. Please refer to our Privacy Policy to learn about our privacy practices with respect to your personal Information.

PLEASE CAREFULLY READ THESE TERMS PRIOR TO USING THE SITE. THESE TERMS CONTAIN A DISPUTE RESOLUTION PROVISION THAT REQUIRES ARBITRATION, WAIVES YOUR RIGHT TO TRIAL BY JURY, AND WAIVES YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING IN THE EVENT OF DISPUTES (SEE DISPUTE RESOLUTION SECTION BELOW).

IN THE EVENT OF A CONFLICT BETWEEN ANY AGREEMENT AND THESE TERMS, THE AGREEMENT(S) SHALL GOVERN AND CONTROL.

In addition to the above requirements, Senior Lifestyle and its affiliates reserve the right to change or include new requirements as deemed appropriate in their sole discretion without prior notice to you.

Subject to these Terms, Senior Lifestyle and its affiliates grant you a limited, revocable, non-transferable, non-exclusive license to access and use the Site for personal, non-commercial purposes only.

8. ACCEPTABLE USE

You agree not to use the Site for any unlawful or prohibited purpose and to comply with all applicable laws.

Senior Lifestyle and its affiliate reserves the right to deny access to any part of the Site at their sole discretion.

You agree that you will not engage in prohibited activities including, but not limited to, unlawful use, misuse of content, harassment, impersonation, interference with Site functionality, scraping, reverse engineering, transmission of malicious code, or violation of intellectual property rights.

You are solely responsible for any content you submit (“Your Content”). You grant Senior Lifestyle and its affiliates a perpetual, irrevocable, worldwide, royalty-free license to use Your Content in any media.

Senior Lifestyle and its affiliates own all Site content excluding Your Content and third-party content and has no obligation to retain copies of Your Content.

11. AVAILABILITY OF SITE

Neither Senior Lifestyle nor its affiliates guarantee uninterrupted or error-free access to the Site and they are not responsible for viruses or harmful components.

13. DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY

NEITHER SENIOR LIFESTYLE NOR ITS AFFILIATES WARRANT THAT:

- THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
- DEFECTS WILL BE CORRECTED.
- THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER SENIOR LIFESTYLE, NOR ITS AFFILIATES, LICENSORS, OR SUPPLIERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.

IN NO EVENT SHALL SENIOR LIFESTYLE’S AND ITS AFFILIATES TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED FIFTY DOLLARS ($50.00), UNLESS OTHERWISE REQUIRED BY APPLICABLE LAW.

Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages, so some of the above limitations may not apply to you.

Senior Lifestyle or its affiliates may, in their sole discretion and without prior notice, suspend, restrict, deny, or terminate your access to the Site for any reason.

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections relating to disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

You agree to indemnify, defend, and hold harmless Senior Lifestyle, its subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, suits, liabilities, damages, losses, cost and expenses (including reasonable attorneys’ fees) arising out of or related to:

2. Your violation of these Terms.
3. Your violation of any applicable law.
4. Your infringement of any third-party right; or
5. Your Content.

18. DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES ARBITRATION OF MOST DISPUTES AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

Agreement to Arbitrate

You, Senior Lifestyle and its affiliates agree that any dispute, claim, or controversy arising out of or relating to the Site or these Terms shall be resolved by binding arbitration on an individual basis.

Class Action Waiver

To the fullest extent permitted by law, you, Senior Lifestyle and its affiliates agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding.

Arbitration Procedures

Arbitration shall be administered under the Consumer Arbitration Rules of the American Arbitration Association (AAA), unless otherwise agreed.

The arbitrator shall have authority to award the same relief available in court, subject to the limitations in these Terms.

Judgment on the award may be entered in any court of competent jurisdiction.

Governing Arbitration Law

This arbitration provision is governed by the Federal Arbitration Act.

Time Limitation

Any claim must be filed within one (1) year after it arises, unless prohibited by applicable law.

19. APPLICABLE LAW

The Site is created and controlled by Senior Lifestyle and its affiliates in the United States.

Except for the arbitration provision above, these Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.

20. SMS/TEXT MESSAGING

If you opt in to receive SMS/text messages from Senior Lifestyle or its affiliates, you consent to receive marketing, promotional, and operational messages at the phone number provided.

Message frequency may vary. Message and data rates may apply.

You may opt out at any time by replying “STOP,” “UNSUBSCRIBE,” or similar instruction provided in the message.

Neither Senior Lifestyle nor its affiliates are liable for delays or failures in message delivery.

21. GENERAL INFORMATION

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Assignment

Senior Lifestyle or its affiliates may assign their rights and obligations under these Terms at any time without notice. You may not assign your rights without prior written consent.

Entire Agreement

These Terms constitute the entire agreement between you and Senior Lifestyle or its affiliates regarding use of the Site.

No Waiver

Failure by Senior Lifestyle or its affiliates to enforce any provision shall not constitute a waiver.
